1. Acceptance of Terms
By registering for, accessing or using the ComplyPath platform at complypath.co.za (“the Platform”), you (“the User”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not use the Platform.
These Terms constitute a binding agreement between you and ComplyPath (Pty) Ltd (“ComplyPath”, “we”, “us”, “our”), a company registered in South Africa with registration number 2026/429764/07.
2. Description of Service
ComplyPath is a Software-as-a-Service (SaaS) compliance guidance platform that helps South African small and medium enterprises assess their compliance status across six regulatory frameworks: the Protection of Personal Information Act (POPIA), Broad-Based Black Economic Empowerment (B-BBEE), the Employment Equity Act (EEA), the Occupational Health and Safety Act (OHSA), the Compensation for Occupational Injuries and Diseases Act (COIDA), and South African Labour Law (collectively “the Frameworks”).
The Platform provides:
- Self-assessment questionnaires across each Framework
- Compliance scores based on your responses
- Guidance on corrective actions where gaps are identified
- A compliance dashboard summarising your overall status
3. Not Legal Advice
ComplyPath is a compliance guidance tool, not a legal services provider.
The information, scores, assessments and corrective action guidance provided by the Platform:
- Are based on general information and do not constitute legal advice
- Are not a substitute for advice from a qualified attorney, compliance consultant or industry specialist
- May not account for your specific business circumstances, industry, size, location or the full complexity of applicable legislation
- Are based on the regulatory frameworks as they existed at the time of last update and may not reflect recent legislative amendments
You should consult a qualified legal or compliance professional before making any decisions based on information provided by the Platform. ComplyPath accepts no responsibility for any regulatory action, penalty, fine, claim or loss arising from your reliance on the Platform’s assessments or guidance.
4. Subscription Plans and Payment
4.1 Plans
ComplyPath offers the following subscription plans:
- Free Plan — Access to POPIA assessment only
- Starter Plan — Access to POPIA and Labour Law assessments
- Professional Plan — Access to all six compliance modules
- Enterprise Plan — Access to all six modules with multi-entity support
4.2 Pricing
Current pricing is as displayed on the Platform at complypath.co.za/pricing. ComplyPath reserves the right to change pricing with 30 days written notice to existing subscribers.
4.3 Payment
Subscription fees are payable monthly in advance via the payment methods available on the Platform. All prices are quoted in South African Rand (ZAR) and are exclusive of VAT where applicable.
4.4 Failed Payments
If a payment fails, access to paid features will be suspended until payment is received. ComplyPath will notify you by email of any failed payment.
4.5 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
5. Free Plan
The Free Plan provides limited access to the Platform at no charge. ComplyPath reserves the right to modify, limit or discontinue the Free Plan at any time with reasonable notice.
6. User Accounts
6.1 Registration
You must provide accurate and complete information when registering for an account. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
6.2 Eligibility
The Platform is intended for use by businesses operating in South Africa. By registering, you confirm that you are authorised to enter into this agreement on behalf of your business.
6.3 Account Security
You must notify ComplyPath immediately at trevor@complypath.co.za if you become aware of any unauthorised use of your account.
7. Acceptable Use
You may not use the Platform to:
- Provide false or misleading information in assessments
- Attempt to circumvent access controls or subscription restrictions
- Reverse engineer, copy or reproduce any part of the Platform
- Use the Platform for any unlawful purpose
- Share your account credentials with third parties
8. Intellectual Property
All content on the Platform including assessments, corrective action guidance, scoring methodology, software, design and branding is the intellectual property of ComplyPath (Pty) Ltd and is protected by South African copyright law. You may not reproduce, distribute or create derivative works without our prior written consent.
9. Data and Privacy
Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and processing of your personal information as described in the Privacy Policy.
10. Limitation of Liability
To the maximum extent permitted by South African law:
10.1 ComplyPath’s total liability to you for any claim arising from your use of the Platform shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
10.2 ComplyPath shall not be liable for any indirect, incidental, special, consequential or punitive damages including but not limited to loss of profits, loss of data, regulatory fines, penalties or enforcement action.
10.3 ComplyPath makes no warranty that the Platform is free from errors, that assessments are complete or accurate, or that the corrective guidance will result in full regulatory compliance.
10.4 ComplyPath does not warrant that use of the Platform will prevent regulatory investigation, enforcement action or penalties by any South African regulatory authority.
11. Indemnification
You agree to indemnify and hold harmless ComplyPath, its directors, employees and agents from any claims, losses, damages, costs or expenses (including legal fees) arising from your use of the Platform, your breach of these Terms, or any third-party claim related to your compliance status.
12. Changes to the Platform
ComplyPath reserves the right to modify, suspend or discontinue any part of the Platform at any time. We will provide reasonable notice of material changes where possible.
13. Changes to These Terms
ComplyPath may update these Terms from time to time. Updated Terms will be posted on the Platform with the revision date. Your continued use of the Platform after the posting of updated Terms constitutes your acceptance of the changes.
14. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the South African courts.
